Mindspace REIT Board Approves Appointment of B S R & Co. LLP as Statutory Auditors and New Valuer for FY27 Onwards at June 29, 2026 Board Meeting

Auditor and Valuer Appointments Approved

The Board of Directors of K Raheja Corp Investment Managers Private Limited, acting as the Manager to Mindspace Business Parks REIT, has approved the appointment of statutory auditors, a valuer, and a property consultant. The decisions were taken during a board meeting held on June 29, 2026, pursuant to the Securities and Exchange Board of India (Real Estate Investment Trusts) Regulations, 2014 and other applicable laws.

Statutory Audit Mandate

The Board approved the appointment of B S R & Co. LLP, Chartered Accountants, as the Statutory Auditors of Mindspace REIT. The firm, bearing Firm Registration number 101248W/W-100022, will conduct the statutory audit for a period of five consecutive financial years. This term commences from the financial year 2027-28 and continues until the conclusion of the annual meeting of Unitholders to be held for the financial year ending March 31, 2032. The statutory auditor fee is set at remuneration of up to ₹1 crore per annum (excluding applicable taxes and out of pocket expenses), with an additional fee of up to ₹10 Lakhs for each additional Asset Special Purpose Vehicle acquired or incorporated from time to time.

Asset Valuation and Property Oversight

Mr. Vijay Arvindkumar C has been appointed as Valuer of Mindspace REIT for a period of 2 (two) years commencing from FY 2026-27, extendable for a further period of up to 2 (two) years at the option of the Board. This appointment follows the completion of the maximum permissible four-year tenure of KZEN Valtech Private Limited as Valuer.

CBRE South Asia Private Limited has been appointed as an independent property consultant for two years from FY27, subject to unitholder approval.

Unitholder Approval Pending

These appointments are subject to the approval of Unitholders of Mindspace REIT. Mindspace Business Parks REIT has scheduled its 6th Annual Meeting of Unitholders for July 24, 2026.
